LogicaCMG is a UK-based global telecommunications, information technology and management consultancy company. It is quoted on the London Stock Exchange and Euronext Amsterdam, and is a member of the FTSE 250 index of shares. As of 2006, the company is active in 42 countries and nearly has 40,000 employees. In 2003, it realised a turnover of 1.4 billion GBP (2.1 billion US$ ; 1.2 billion EUR).

Overview and history

Logica was founded in 1969 by Len Taylor, Philip Hughes and Pat Coen. The company started life as a systems integration business at the same time as the birth of the mini computer. The majority of projects undertaken at that time exploited the flexibility and power of these machines. Important projects included the control systems for the natural gas grids in the UK and the Netherlands, Hydrocarbon Reserves Volume Management systems, the automated clearing system for the UK banks, the computerization of the new stock exchange in Hong Kong, and the customer service system for British Telecom, the control system for the Eutelsat satellite constellation as well as numerous projects for the European Space Agency including the software for the successful Huygens mission to Titan. Logica undertook significant product developments for IBM. Logica is credited with the development of the Teletext system for the BBC.

Logica set up operating subsidiaries in the Netherlands, Australia, Sweden, the United States and elsewhere as well as joint ventures in Hong Kong with Jardine Matheson and Italy with Finsiel and one with British Airways.

It now has over 40,000 employees operating in 41 countries across the globe. Total turnover of 14 billion euros and at present is number one in application management and holds 12th position among all companies in the world.Template:Fact

The company was the first software company to be floated on the London Stock Exchange on 26 October 1983. Company projects include the strategic partnership with the Crown Prosecution Service known as COMPASS, which has included the development of a Case Management System (CMS), and ERNIE - the system which randomly generates premium bond numbers.

Mergers

The Company has made a number of acquisitions in the United States, Germany, Sweden, France and Australia; however none of these has proved to be very successful. The acquisition of Aldiscon in Ireland brought Logica into the text messaging business which was to prove very lucrative. In 2002 the Company merged with CMG.

The merger of Logica (60%) with CMG / Admiral (40%), on December 30, 2002, represented the union of an established technology firm (Logica) with an established consulting firm (CMG).

In 2006, LogicaCMG purchased the French company Unilog. As of October 10, 2006, the Swedish IT company WM-data is a subsidiary of LogicaCMG.

Activities

LogicaCMG is a prominent IT consulting firm, but does not advertise widely and is shy of general public attention. As a consequence of this relative obscurity, the LogicaCMG marketing literature that does exist lists various 'wow factors' that people may be surprised by:

  • LogicaCMG systems supports the missions of over 150 orbiting satellites.
  • LogicaCMG solutions handle more than half the world's foreign exchange traffic.
  • LogicaCMG systems process two out of every three text messages sent in the world.
  • LogicaCMG has delivered one out of every four multi-media messaging centres installed by wireless service providers across the globe.
  • LogicaCMG HR outsourcing services process more than $90 billion of salaries globally each year.

Helmut became a non-executive director of LogicaCMG in December 2002, having been a non-executive director of Logica since 1997. He is the senior independent non-executive director and deputy chairman. He is also a non-executive director of GKN plc and SAPPI Limited. Helmut is a former non-executive director of RMC Group plc and a former member of the board of management of VEBA AG (now E.ON AG) and was concurrently, since 1998, chairman of VEBA Electronics Inc, St Clara/USA and MEMC Electronic Materials Inc, St Peters/USA. Previously he was chairman of Stinnes AG.


Didier Herrmann (56) executive vice president – France, Germany and Switzerland executive director executive committee member


On 10 January 2006, Didier Herrmann was appointed executive vice president of the LogicaCMG group and executive director of the board, responsible for France, Germany and Switzerland. Didier has been a member of the Unilog board since 1992. He became head of international business in 2004 and vice-president of Unilog in June 2005. On 1 March 2006, Didier Herrmann became president of the Unilog S.A. executive board.

Seamus was appointed chief financial officer and a member of the LogicaCMG board in December 2002, having been Logica chief financial officer since February that year and director of group finance since 1999. He joined Logica from Getronics, where he was finance director of Olivetti Solutions, immediately prior to its purchase by Wang (in turn purchased by Getronics). Prior to that appointment, he was finance director of Olivetti's UK operations, having joined its finance function in 1989.


Jim McKenna (51) chief operating officer executive director executive committee member

Jim was appointed Chief Operating Officer in January 2005. He has been a member of the LogicaCMG board since December 2002, having been an executive director of Logica plc since 1998. Jim was also Chief Executive for LogicaCMG in the UK and Ireland and was previously responsible for Logica in continental Europe and the Middle East . He formerly worked for GEC-Marconi and also Plessey Company plc. He is a non-executive director of AWG plc.


Crister Stjernfelt (63) executive vice president – Nordic region executive director executive committee member

On 10 October 2006, Crister Stjernfelt was appointed an executive board director of LogicaCMG with responsibility for the Nordic region. Crister joined the WM-data Group in 1977 as managing director for the Danish operations. He continued working at WM-data in Sweden as sales director for application software becoming managing director for the application software operations between 1984 and 1990. In 1990 he became a member of the executive board of WM-data and in 1995 senior vice president in charge of marketing and information. In April 2001 Crister Stjernfelt was appointed president and CEO of the WM‑data Group.


Wim Dik (68) non-executive director

Wim was appointed a non-executive director of LogicaCMG in December 2002, having been a non-executive director of CMG since May 2001. He is a professor at the Technical University Delft in the Technology and Management Faculty. Previously he was chairman and CEO of Koninklijke KPN NV, Royal Dutch Telecom. Prior to that, he was chairman and CEO of Royal PTT Nederland (telecom and post), chairman of Unilever's Dutch operations and Minister for Foreign Trade in the Dutch Government (1981-82). He holds non-executive positions with Unilever NV, Unilever plc, Casema Holding BV, AVIVA plc, Tele Atlas NV and is an adviser to Spencer Stuart Limited. Wim is a Grand Officer in the Dutch order of Oranje Nassau and a Commander in the Swedish order of the North Star.

Angela became a non-executive director of LogicaCMG in December 2002, having been a non-executive director of Logica since July 1999. She is currently chief executive of the Association of Private Client Investment Managers and Stockbrokers (APCIMS). She is also deputy chairman of Scottish Widows and a non-executive director of Lloyds TSB plc and International Financial Services London (IFSL) and a trust member of the Port of London Authority . Angela was previously the Member of Parliament for Erewash (1992–97) and Economic Secretary to HM Treasury between 1995 and 1997.


George Loudon (64) non-executive director

George was appointed a non-executive director of LogicaCMG in December 2002, having previously been a non-executive director of CMG since 1998. He is currently Chairman of Altius Associates LTD and Pall Mall Capital LTD, as well as holding a number of non-executive positions. From 1988 until 1992 he was a director of Midland Bank plc and then Chairman and Chief Executive of Midland Montagu, having previously spent 12 years with Amsterdam-Rotterdam Bank NV, latterly as a member of the managing board.


Roger Payne, (58) chairman, audit committee non-executive director


Roger, a chartered certified accountant (FCCA), became a non-executive director of LogicaCMG in September 2004 and was appointed chairman of the audit committee at the same time. In September 2005 he retired from his position as finance director of Rentokil Initial PLC, a UK listed FTSE 100 company with a turnover in excess of £2.4bn and operating in more than 40 countries. He had been with the company for 18 years and prior to that held senior financial and general management positions in other leading service sector companies.


Gerard Philippot, (64) non-executive director


Gerard was appointed a non-executive director of LogicaCMG in October 2005. He was president of Unilog from 1992 and was the driving force behind Unilog rising from the twenty-third to the fourth largest French IT service company between 1992 and 2005. Graduating from Ecole Polytechnique in 1962, Gérard began his career as an engineer with the organisation consultancy CGO (Compagnie Générale d’Organisation). In 1968, he teamed up with four former colleagues to establish the Unilog group. Gerard was appointed a member of the Management Board of Unilog in 1983 and president of Unilog Industrie and Unilog Multi-Systèmes in 1987.

Noël Harwerth (58) non-executive director

Noël currently serves as a non-executive director with Sumitomo Mitsui Banking Corporate Europe, Royal & Sun Alliance Insurance Company, and Corporate Services Group. She is also currently a non executive director of the Corus Group. From 1998 to 2003 Mrs Harwerth was chief operating officer of Citibank International Plc in London. She was responsible for Infrastructure and Governance of Europe's first truly pan-European bank, with branches in 18 countries and a balance sheet of $25 billion.

Wolfhart Hauser (56) non-executive director

Dr Wolfhart Hauser is currently chief executive officer of Intertek Group plc, a listed company, having been appointed to their board as a non-executive director in 2002. Intertek is a global leader in testing, inspection and certification of products, commodities and systems, operating in 110 countries. Wolfhart started his career as a scientist and medical doctor before establishing and leading a broad range of successful international service businesses in the testing industry. For 10 years he was chief executive officer of TüV Süddeutschland AG, the largest testing, inspection and certification company in Germany.

Aydin Azernour (50) executive committee member


Aydin was appointed a member of the executive committee of LogicaCMG and chief executive of IT services – Paris , in January 2006. He joined Unilog in 1985 and, in 1998, was appointed a member of the Unilog Executive Committee in charge of engineering activities in the industry sector. Appointed a member of the Unilog management board in 2000, Aydin established and developed the Unilog Start-up Valley , an organisation intended to host and develop innovative projects.


John Coleman (59) executive committee member

John was appointed chief executive international and a member of the executive committee of LogicaCMG in June 2003, having previously been managing director of the UK telecoms division. He joined Logica in 1982, holding a variety of sales, line management and senior positions, before moving to the USA to run the West Coast operation. John briefly managed the UK government team in 1993, before then moving into telecoms, including two years as telecoms international line of business director from 2000 to 2002.


Patrick Guimbal (50) executive committee member


Patrick was appointed an executive committee member and chief executive of management and consulting – France, Germany and Switzerland in January 2006. He is in charge of Unilog Management, the subsidiary of Unilog for Consulting activities in France and Germany . Patrick joined Unilog in 1997 in order to design and implement a new strategy for Consulting. Prior to this, he rose through the ranks with Bossard, a European management consulting company to become an executive committee member.


Thomas Ivarson (52) executive committee member

Thomas was appointed executive vice president wireless networks and a member of the executive committee of LogicaCMG following the merger of Logica and CMG in December 2002. In October 2003 he became group sales and marketing director and in 2007 he became ILoB and sales and marketing director for Nordic region. Thomas joined CMG in October 2001 as chief executive of CMG wireless data solutions. Between 1995 and 2001 he was CEO and president of the EHPT Group. Previously he worked for 15 years with Ericsson. Thomas was a non-executive director of Intec Telecom Systems plc from 2003 to 2005.


Chris McDermott (49) executive committee member

Chris was appointed chief executive, wireless networks, and an executive committee member of LogicaCMG in December 2002. Chris joined Logica in May 2001 as supervisory managing director responsible for Logica’s business across Asia Pacific and was later appointed supervisory managing director for Logica’s mobile networks’ division. Prior to that, he was vice president and general manager of the worldwide public sector business at Unisys, having previously run their worldwide commercial and European telecoms business. Before Unisys, Chris worked for Nortel and GEC Avionics.


Nigel Perks (47) executive committee member

Nigel was appointed group HR director and a member of the executive committee of LogicaCMG in March 2004, having been corporate HR director since September 2001. Prior to joining the company, Nigel was a board member and European HR director of Equifax PLC. Nigel previously held a variety of senior international HR roles with Prudential and Digital Equipment Co. (DEC).


Paul Schuyt, (49) chief executive, The Netherlands executive committee member


Paul was appointed chief executive, The Netherlands in February 2003 and a member of the executive committee of LogicaCMG in April 2004. Having worked for PTT Post (now TPG) Paul joined CMG as a management consultant in 1987. He held various management positions in the Telecom and Public Sector markets prior to his being appointed country director CMG Benelux in 2002.


Nick Caplan, (47) chief marketing officer executive committee member


Nick was appointed a member of the executive committee of LogicaCMG in January 2005. He joined LogicaCMG in May 2003 as managing director international financial services. Previous experience has included interim chief executive of two software houses where he was responsible for turning the businesses around. Prior to this, Nick was head of CSC's European financial services consultancy, systems integration and outsourcing and prior to that as operations director of JIB, an organisation providing insurance and risk advisory services to businesses around the world.



Joe Hemming, (44) chief executive, UK executive committee member


Joe was appointed chief executive of LogicaCMG UK and a member of the executive committee in January 2007, having been managing director of LogicaCMG’s space and defence business since January 2004. Joe gained his early experience in the defence industry at Thorn EMI Electronics in Middlesex, UK before joining Easams, the IT business of the GEC-Marconi group in 1984. Joe moved to Logica plc in 1995 as commercial director for the public sector business and was subsequently appointed chief operations officer of Logica North America in 1998, where he remained until 2001, when he was appointed commercial director of Logica UK and a member of the UK board. Following the merger of Logica and CMG in December 2002, Joe continued in the role as commercial director of the new LogicaCMG UK organisation until January 2004.
